ISO 37301 Compliance Management System Certification: The "Trust Cornerstone" for Global Operations

ISO 37301:2021 "Compliance management systems — Requirements with guidance for use" is the world's first international standard for compliance management that can be used for third-party certification. It was published by the International Organization for Standardization (ISO) in April 2021, aiming to provide any type, size, nature, and industry of organization with a systematic method to establish, operate, maintain, and improve an effective compliance management system. This standard replaces the previous ISO 19600:2014 guideline and has been equivalently adopted as the Chinese national standard GB/T 35770-2022.

I. Core Value: From Risk Management to Business Passport

Obtaining ISO 37301 certification offers multiple strategic values for an organization. It is not only a tool for internal management but also an authoritative credential for conveying trust externally.

  1. Systematically Enhance Compliance Management Capability: The standard adopts the internationally recognized "Plan-Do-Check-Act" (PDCA) cycle concept, comprehensively covering the entire lifecycle of a compliance management system. This helps enterprises integrate compliance requirements into business processes, achieving a shift from "passive compliance" to "active management". This aids in systematically identifying and preventing risks of penalties, litigation, and reputational damage due to violations of laws, regulations, and regulatory requirements.

  2. Build Global Business Trust and Competitiveness: In a complex global regulatory environment, this certification serves as a "letter of credit" and "passport" to demonstrate an organization's compliance management capability to regulators, business partners, and the international community. It can significantly enhance the confidence of clients, investors, and partners, meeting compliance qualification requirements for international market access, bidding, and cooperation, becoming a significant competitive advantage.

  3. Interface with Judiciary and Regulation, Seeking Favorable Outcomes: Certification holds important reference value in judicial and administrative regulatory activities. For enterprises suspected of violations, an effective compliance management system and certification can serve as positive evidence to prosecutors and judicial authorities, demonstrating their sincerity for rectification and management capability. This can become a favorable consideration for seeking compliance-based non-prosecution, reduced penalties, or lifting sanctions from international organizations (e.g., the World Bank).

II. Scope of Application and Key Practices

The standard is universal, particularly applicable to state-owned enterprises, listed companies, multinational corporations, and highly regulated industries such as finance, healthcare, and energy. Its core practice requires organizations to start from analyzing the "organizational context," driven by "leadership," by identifying "compliance obligations," assessing "compliance risks," and establishing corresponding operational controls, performance evaluation, and continuous improvement mechanisms.

It is noteworthy that establishing a system compliant with China's "Measures for Compliance Management of Central Enterprises" is not entirely equivalent to meeting the certification requirements of ISO 37301. Enterprises typically need to supplement and improve their systems based on the international standard's framework.

Conclusion

In summary, ISO 37301 certification is a key infrastructure for organizations to achieve sustainable development in the context of legalization and globalization. It transforms abstract compliance commitments into auditable, certifiable management practices, not only building an internal risk "firewall" for enterprises but also creating a "passport" to win external trust and facilitate global business. From Midea Group obtaining the first domestic certification to the subsequent adoption by large enterprises like China Life, all confirm its important value as an international business lingua franca and a cornerstone of trust.
